From our base in Kyiv  WeWork facility, we offer healthcare providers a platform to showcase their services to a global audience, fostering a vibrant and supportive environment for both providers and clients seeking medical assistance. In this agreement, "we," "our," and "us" refer to Doctoury.com.

 

Services Provided

  • At Doctoury.com, we serve as a pioneering digital marketplace that connects individuals seeking medical assistance ("Clients") with a wide array of healthcare professionals, hospitals, clinics, and even travel agencies (collectively referred to here as "Healthcare Providers"). Our platform makes it easy for Clients to meet Healthcare Providers through a user-friendly online system. For the purpose of this Agreement, "Medical Services" includes any health-related services that Healthcare Providers are legally permitted to provide to Clients.

  • Responsibility for managing appointments and providing healthcare services rests with Doctoury.com or the specific clinics and providers who are registered on our website. Although Doctoury.com facilitates these interactions, the responsibility for the actual provision of services and appointment management lies solely with the clinics and providers that connect with Clients through our platform.

  • Doctoury.com is committed to providing Clients with extensive information about Healthcare Providers around the world, enabling them to conduct detailed research and make informed decisions about their healthcare options. When a Client selects a Healthcare Provider through our site, Doctoury.com will facilitate the initial contact by sharing necessary Client details with the Provider (hereafter referred to as the "Website Service").

  • Registration on the Website is optional for those simply wishing to explore; however, interaction with the Website is still subject to the relevant parts of this Agreement. Full access to the Website Service requires registration, which will activate this Agreement concerning the Website Service upon Doctoury.com's confirmation of your registration. During the registration process, it is crucial to review, understand, and agree to the terms of this Agreement.

 

If you find that you disagree with or cannot accept this Agreement, please close your account, contact us at info@doctoury.com, and discontinue using the Website.



 

Limitations of Services

  • Doctoury.com is not a medical referral platform. We do not endorse or recommend any healthcare providers listed on our site. The platform should not be seen as a replacement for professional medical advice or treatment, and we do not position ourselves as medical experts. Instead, Doctoury.com simply facilitates connections between clients and healthcare providers, without providing medical advice or engaging in medical discussions.

  • Although we aim to keep our information up-to-date and accurate, Doctoury.com cannot ensure the validity, quality, safety, or legality of the services arranged or offered through our site. We also cannot guarantee the precision of provider listings or client information, or the completion of any transactions initiated on our platform.

  • When a client chooses a healthcare provider through Doctoury.com (referred to as a "Lead"), and the provider decides to engage with that lead, any subsequent agreement for medical services is strictly between the client and the healthcare provider. Doctoury.com does not participate in or facilitate these agreements beyond making the initial introduction. Clients have no obligation to proceed with any transaction if it is unlawful or violates this agreement.

Client Communication Policy

 

Engagement Expectations:

·      Upon signing up on Doctoury.com, healthcare providers agree to make every reasonable effort to contact clients who submit inquiries within two business days. This should include communication via both telephone and email to guarantee prompt and effective exchanges.

 

·      Membership Tiers:

  • Pro Version: Subscribers to the Pro Version are expected to personally reach out to potential clients. Doctoury.com also provides additional services to manage these communications on behalf of the provider, ensuring regular engagement.

  • Free Version: Providers using the Free Version have no mandatory communication methods to follow with potential clients.

 

·      This proactive communication strategy is crucial for sustaining efficient interactions between clients seeking health services and providers, thereby improving the quality of service and enhancing client satisfaction.

 

Initiation and Term

 

·      The agreement takes effect once the user accepts it on Doctoury.com and continues indefinitely, offering flexibility and ongoing access to our features. Either party can terminate the agreement according to the terms outlined, allowing for adjustments in the use of the 


 

Insurance Requirements:

  • Doctoury.com recognizes that healthcare providers may operate in areas where the insurances detailed here may not be available. In such circumstances, healthcare providers are not bound by the insurance requirements described in this section.

  • During the term of this Agreement and for seven (7) years following its conclusion, healthcare providers must, at their own cost, obtain and maintain adequate insurance coverage. This should include coverage for medical malpractice, product liability, general liability, employer's liability, and professional indemnity insurance, or other necessary insurances as required by their respective jurisdictions. All insurance policies must be sourced from a recognized insurer to address claims related to the healthcare provider’s duties towards clients and Doctoury.com. Healthcare providers must immediately notify Doctoury.com, and if applicable, the client, of any disruptions to their insurance coverage. They must also provide valid proof of insurance upon request from Doctoury.com or the client.

  • Any insurance payouts received due to claims involving third-party legal liabilities or employer's liabilities must be used by healthcare providers to resolve claims or liabilities. If the proceeds from insurance claims are inadequate to fully settle such claims, healthcare providers are expected to swiftly manage any remaining financial obligations.

Data Privacy and Compliance:

  • Healthcare providers affirm their adherence to all relevant data privacy regulations, including the EU Data Protection Acts of 1988 and 2003, as well as the EU General Data Protection Regulation (GDPR) of 2018. These regulations govern the handling, processing, and transfer of Data.

  • Under this Agreement, "Data" refers to all electronic data or information, notably personal data as defined under the mentioned regulations, which is submitted by clients through the website and shared with healthcare providers by Doctoury.com for the provision of medical services.

  • Healthcare providers commit to processing this Data solely for the purpose of delivering medical services, strictly according to the terms of this Agreement and under the guidance of Doctoury.com. Access to the Data will be limited to authorized individuals who are trained in data protection principles and the proper management of personal information.

  • It is forbidden for healthcare providers to share Data with any third parties, except as required for the provision of medical services as directed by Doctoury.com or as explicitly stated in this document. All data processing activities will comply with applicable legal, regulatory, and security standards to safeguard against unauthorized access, alteration, or disclosure.

  • Once the medical services are complete, healthcare providers must either return the Data to Doctoury.com and/or the Data Protection Commissioner or destroy it, as directed, unless legal obligations dictate otherwise. They must also ensure the confidentiality of the Data and halt further processing if neither return nor destruction is feasible.

  • Healthcare providers are liable for indemnifying Doctoury.com against any losses, claims, costs, or damages that arise from any violation of these terms.

  • Revealing client identities without their direct written consent is prohibited, as is the use of client information in marketing or reference materials without such consent.

  • Healthcare providers also confirm that all personal details in their promotional materials have been gathered with informed consent for unrestricted sharing and transfer beyond the European Union.

  • Doctoury.com may facilitate client-provider communication through email to ensure privacy and adherence to data protection standards.

Suspension/Termination

 

Doctoury.com retains the authority to suspend or terminate your access to this website or any services provided through this website, either partially or completely, at any time without prior notice, for any reason deemed appropriate. This may occur, but is not limited to, circumstances where you have submitted inaccurate or deceptive information, have breached the terms of this Agreement, or have failed to comply with the terms set forth. Additionally, Doctoury.com may restrict or end your access if it cannot confirm or authenticate the information you submit to the website. Doctoury.com is not liable for any consequences to you or any third party resulting from the suspension or termination of your access to the website.

  • Doctoury.com serves as a vibrant platform for the exchange of information provided by its users, including both Clients and Healthcare Providers. Although we do not perform initial screening of content or commit to monitoring everything posted on our site, it is crucial to understand that the responsibility for any content uploaded to the site lies with you, the user.

  • We reserve the right to adjust or remove content that we believe to be incorrect or that might lead to liability. It's important to recognize that Clients have the right to post reviews and share their opinions about the Medical Services and facilities offered by you or other Healthcare Providers, either on our Website or related platforms. By using this platform, you agree to allow the publication of both positive and negative feedback. Please note that these reviews may remain accessible, even after your account has been deactivated.

  • Furthermore, you are expected not to submit self-reviews or reviews about other clinics. This policy maintains the integrity and credibility of the information on Doctoury.com, ensuring a transparent and trustworthy environment for all participants.

  • By participating on Doctoury.com, you acknowledge and agree to these terms, and commit to adhering to the standards and expectations outlined in these Content Guidelines.

Disclaimers

  • This section outlines the limits of legal responsibility of Doctoury.com concerning your access to and use of the Website. Understanding this clause is crucial as it is an integral part of our agreement with you.

o   If the Healthcare Provider significantly violates this Agreement and does not correct the violation within thirty (30) days after receiving a written warning from Doctoury.com.

 

o   If the Healthcare Provider becomes insolvent, is dissolved, or stops operating.

 

o   If Doctoury.com cannot confirm the accuracy of the information the Healthcare Provider has provided to the website.

 

o   If the Healthcare Provider does not pay the due amounts to Doctoury.com.

 

o   If the Healthcare Provider is found guilty of a criminal act.

 

o   If the Healthcare Provider disseminates defamatory, offensive, racist, harmful, or obscene content through the website.

 

o   If the Healthcare Provider is no longer part of a recognized professional group or their medical license expires or is revoked.

 

·      When this Agreement ends or expires, the following will occur:

 

o   The Healthcare Provider must immediately stop using any data from Doctoury.com and, if asked, return or permanently delete it.

o   The Healthcare Provider must return all client-provided materials within five (5) days of the agreement's termination, unless directed otherwise.

o   Within thirty (30) days of ending the agreement, the Healthcare Provider must verify in writing to Doctoury.com that they have complied with these requirements.

o   Any rights or duties accrued by Doctoury.com before the agreement's termination will continue to be enforceable.

 

·      Doctoury.com can terminate this Agreement at any time for its convenience without any notice or penalty. The Healthcare Provider can also cancel their account anytime via the "Account" settings on the website. After termination, the Healthcare Provider will no longer have access to the website services, but Doctoury.com's proprietary rights, disclaimers, indemnities, liability limitations, and other miscellaneous provisions will remain effective.


 

Modifications to the Terms of Service

 

Doctoury.com may alter or discontinue any services provided via the Website at any moment, without prior notification, and will not be liable to you or any third party. Additionally, Doctoury.com retains the authority to modify the content, design, functionality, and availability of any portion of the Website, including these Terms of Service, at its sole discretion. You are encouraged to regularly review these Terms of Service whenever you visit the Website. Your ongoing use of the Website and your affirmative action of clicking the "I accept" button constitute your agreement to any updated terms.

 

Location and Applicable Law

Doctoury.com does not represent that the services, content, and functionality on the Website are suitable or accessible for use outside of Ukraine, or that they adhere to the legal or regulatory frameworks of other nations. You access the Website at your own discretion and risk, and you are responsible for compliance with local laws applicable to you. If the use of the Website, its services, and content, or any portion thereof, is restricted or prohibited in your jurisdiction due to nationality, residency, or other reasons, the Website is not designed for your use.

  • This Agreement is subject to and will be interpreted according to the laws of Germany. By using Doctoury.com, you acknowledge and consent to the jurisdiction of the German courts for the purposes of resolving any disputes arising from this Agreement.

  • Dispute resolutions or proceedings related to this Agreement will be carried out in English.

 

Relationship of the Parties

  • This agreement outlines the association between the Healthcare Provider and doctoury.com. Both parties operate independently and neither functions as a representative for the other, even during the use of the premium plan which should be reviewed under the plan details.

  •  The Healthcare Provider is not authorized to act, enter into contracts, make representations, issue warranties, incur liabilities, or assume any obligations on behalf of doctoury.com, nor to bind doctoury.com in any capacity, whether explicitly or implicitly.

Miscellaneous Provisions

  • Any exemption from the terms of this Agreement requires a written agreement signed by Doctoury.com to be effective. An exemption for one term does not imply exemptions for other terms, nor does it suggest ongoing exemptions for any term. Each term of this Agreement is distinct, separable, and independently enforceable. Should any term be declared void or unenforceable by a competent court, the remaining terms shall remain valid and enforceable.

  • This Agreement embodies the complete and exclusive understanding between the Healthcare Provider and Doctoury.com concerning the usage of the Website and its services, overriding all prior discussions, agreements, and understandings.

  • The Healthcare Provider is prohibited from assigning, transferring, or encumbering its rights under this Agreement.

  • You acknowledge that this Agreement nullifies and replaces all prior contracts, agreements, and working relationships, whether written, verbal, explicit, or implied. This Agreement takes precedence over any other terms found elsewhere or suggested by industry practice or previous engagements. Any contrary terms are excluded to the maximum extent permitted by law.

 

  • -No act of leniency, delay, or failure to enforce a term of this Agreement by either party shall impact their rights under this Agreement.

  • Should any part of this Agreement be found to be illegal, unenforceable, or invalid in a specific jurisdiction due to applicable law:

  •   This finding will not affect the Agreement's application in jurisdictions where it does not apply.

  •   The rest of this Agreement will continue to be enforceable and in effect within that jurisdiction, to the extent allowed by law.



 

Communication Procedures

 

All communications related to this Agreement should be sent either by prepaid mail or email to the latest address or contact information that one party has submitted in writing to the other. This designated address will be used as the official contact point for any legal matters, in accordance with applicable laws. The timing for when communications are considered received is as follows:


 

  • If sent by mail, five business days after the date it is mailed.

  • If sent by email, they are considered received at the earliest of:

  •    Receipt of a confirmation from the recipient acknowledging the email.

  •   A notification to the sender indicating successful delivery or that the email was opened, as per automated feedback.

  •   48 hours after the email is sent, provided there has been no notification of transmission failure.
